Agreement

These Terms of Service ("Terms") govern your access to and use of Shepherd Atlas, a congregation management software service. By creating an account or using the Service, you agree to these Terms. The Service is operated by the individual proprietor identified in the Impressum.

Service description

Shepherd Atlas is a multi-faith congregation management platform providing tools for: member and family record management, giving and donation tracking, event scheduling and attendance, volunteer coordination, communications, sermon management, and Smart Insights administrative features. The Service is provided as a cloud-based (SaaS) subscription.

Account terms

Each organization's account is administered by one or more designated administrators. Administrators are responsible for:

• Maintaining the security and confidentiality of account credentials
• Ensuring that all users added to the account comply with these Terms
• The accuracy of member data entered into the platform
• Obtaining any required consents from members for data storage and communications, particularly where required by applicable privacy law
• All activity that occurs under the account

Your organization is the data controller for all member data you enter. Shepherd Atlas acts solely as a data processor on your behalf. You must not use Shepherd Atlas to store data about individuals without a lawful basis for processing under applicable privacy law.

Acceptable use

Shepherd Atlas is designed for religious institution administration: managing congregation records, tracking donations, scheduling events, managing volunteers, and communicating with members.

You may not use Shepherd Atlas to:

• Store or process data unrelated to congregation administration
• Send unsolicited commercial messages (spam)
• Violate any applicable law or regulation
• Attempt to access another organization's data
• Reverse-engineer, decompile, or attempt to extract source code
• Use Smart Insights features to generate misleading, harmful, or fraudulent content

Subscription and billing

Shepherd is offered on a monthly subscription basis. Pricing is as published at shepherdatlas.com/pricing at the time of your subscription. Billing is handled by Stripe and recurs monthly on the date you subscribed.

Free trial: New accounts receive a 14-day free trial with full access to all plan features. A payment method is required to start, but you are not charged until the trial ends and you may cancel anytime before then. If you do not continue at the end of the trial, your account will be suspended (data retained for 30 days, then deleted).

Cancellation: You may cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of your current billing period. We do not offer prorated refunds for partial months.

Data ownership

You own your data. Member records, donation history, communications, and all other data you enter into Shepherd Atlas remain your property. You may export your data at any time using the built-in CSV export features.

By using the Service, you grant Shepherd Atlas a limited license to store, process, and transmit your data solely for the purpose of providing the Service. We do not claim ownership of your data and do not use it for any purpose other than operating Shepherd Atlas.

Service availability

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where possible. Shepherd Atlas is not liable for downtime caused by factors outside our reasonable control, including third-party infrastructure providers.

Limitation of liability

To the maximum extent permitted by applicable law, Shepherd Atlas's total liability to you for any claim arising from these Terms or use of the Service is limited to the amount you paid to Shepherd Atlas in the three months preceding the claim.

Shepherd Atlas is not liable for any indirect, consequential, incidental, or punitive damages, including loss of data or loss of revenue, even if we have been advised of the possibility of such damages.

The AI features in Shepherd Atlas are assistive tools. Content generated by AI (communications, letters, summaries) should be reviewed before use. Shepherd Atlas makes no warranty as to the accuracy or completeness of AI-generated content.

GDPR — Data Processing Agreement

For organizations subject to the EU General Data Protection Regulation (GDPR) or UK GDPR, Shepherd Atlas serves as a data processor within the meaning of Article 4(8) GDPR. Your organization is the data controller.

By accepting these Terms, you and Shepherd Atlas enter into a Data Processing Agreement (DPA) in which we commit to:

• Process personal data only on documented instructions from your organization
• Implement appropriate technical and organizational security measures (Article 32 GDPR)
• Assist you in responding to data subject rights requests (access, erasure, portability, etc.)
• Notify you without undue delay of any personal data breach affecting your organization's data
• Delete or return your personal data upon termination of the agreement
• Engage sub-processors only under the same data protection obligations (see our Privacy Policy for the current list of sub-processors)

International transfers of personal data from the EU/EEA are made under Standard Contractual Clauses (SCCs) or equivalent safeguards as required by Chapter V GDPR. If you require a separately executed DPA document, contact us at support@shepherdatlas.com.

Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email to account administrators at least 14 days before taking effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.

Governing law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or your use of the Service that cannot be resolved informally will be submitted to the exclusive jurisdiction of the state and federal courts located in Delaware, USA.

For users in the European Union or UK, mandatory consumer protection provisions of your country of residence continue to apply to the extent they cannot be waived by contract.
